Significant Representative Matters:
- Provided legal services in approximately 20 merger & acquisition transactions, including the representation of the buyer in the acquisition of the assets of a financial data provider with a transaction value of approximately $3 million.
- Incorporated approximately 100 businesses, including nonprofit corporations, partnerships, limited liability companies, and corporations.
- Discharged over $1 million for clients in unpaid taxes through bankruptcy filings and offers in compromise with the IRS and State of California, including a $350,000 tax assessment for unpaid income taxes related to a $1 million dollar settlement received by the taxpayer in a wrongful termination case.
- Represented client at trial and appellate level against overtime wage claimant who filed motion to add client as a judgment debtor on a $300,000 claim on grounds that client was successor in interest of the original employer. Client prevailed and trial court decision affirmed on appeal.
- Negotiated sublease for a 35,000 sq. foot commercial space with the Port Authority of San Francisco with rents exceeding $1 million annually.
- Represented manufacturer of popular handbags and purses in numerous filings in Federal District Court for the Northern District of California against national retail chains and apparel manufacturers for infringement of client's trade dress.
- Received favorable settlement for financial research company sued for trademark infringement in the U.S. District Court for the Southern District of NY.
- Served as securities counsel for publicly traded internet information provider for over 7 years.
- Served as security counsel in approximately 50 debt and equity raise transactions for both public and private companies.
- Drafted numerous wills, trusts, buy/sell agreements and other documents related to wealth preservation, succession planning and asset protection.
