My practice involves handling a wide variety of issues for business and corporate clients.  Matters include from starting a business (legal structure and tax implications), to mergers and acquisitions to sale and disposition of the business.

With a primary concentration on representing business entities with their corporate and tax issues, the following are the areas of focus:

• Formation and advice in the selection and jurisdiction of business entities
• Counseling on corporate compliance and governance
• Facilitation and representation with buyouts, restructurings, reorganizations, spin-offs, conversions, and mergers and acquisitions
• Negotiation, preparation and execution of all types of contracts, including licensing, commercial leases, vendor, software development, and executive contracts
• Negotiation, preparation and execution of debt and equity finance transaction documents

Taxation

• Facilitation and counsel on all aspects of federal and state tax issues
• Sec. 1031 exchanges
• Representation relating to controversies with federal and state tax authorities including taxes assessed on income, employment, sales, and real and personal property
• Prepare and implement deferred compensation plans, including restricted stock plans, statutory and non-statutory stock option plans, and phantom stock plans and review existing plans for compliance under IRC section 409A

Real Estate

• Advice and counsel related to tax consequences arising from foreclosures on personal residence
• Assertion or denial of easement rights
• Disputes over proper title to property, i.e. "quiet title"
• Mechanic's lien foreclosures
• Lease drafting and negotiation

Intellectual Property

• Trademark registration filings and advice, and comprehensive trademark searches
• Copyright registration filings and copyright law advice
• Trademark and trade dress protection and enforcement, including the drafting and negotiation of trademark licensing agreements
• Drafting of software and data licensing agreements

Litigation

• Representation in mediations, arbitrations, administrative proceedings and trials in federal and state court;

Succession Planning

• Advice and counsel related to wealth preservation and asset protection
